Acceptance of Terms; Modifications

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "User," or "your") and Develop Together LLC, a Wyoming Limited Liability Company operating as Owlisdom ("Owlisdom," "we," "us," "our," or "Company"), located at 30 N. Gould St. Ste R, Sheridan, WY 82801. The Terms govern your access to and use of our digital and physical services, which include the Owlisdom website, mobile applications, and any other platforms (collectively, "Owlisdom Platform") we make available, including any content, functionality, and services offered on or through these platforms.

By accessing the Owlisdom Platform, whether by signing up for an account or by using it as a guest, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Owlisdom Platform.

We reserve the right to revise and update these Terms at any time in our sole discretion. Changes become effective immediately upon posting to the Owlisdom Platform. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. Mandatory Arbitration

These Terms contain a mandatory arbitration provision that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or any other court proceedings.

Nature of Owlisdom Platform

Owlisdom is an educational support platform that connects Users with resources for enhancing learning and academic skills. Owlisdom is not a direct provider of educational content but facilitates access to various educational tools and resources.

Eligibility

By using the Owlisdom Platform, you affirm that you are at least 16 years old and possess the legal authority to enter into this Agreement. Owlisdom is available to global users, and by using the Platform, you represent and warrant that you meet all the eligibility requirements. If you do not meet these requirements, you must not access or use the Owlisdom Platform.

Nature of the Service

• Marketplace Role: Owlisdom serves as a marketplace to connect Users with educational resources and tools. We do not provide these services directly; instead, we facilitate your access to a network of educational content providers.
• Service Descriptions: Users can browse and utilize various tools and resources to aid their educational pursuits on the Owlisdom Platform. Each resource will have its own scope of work, usage terms, and descriptions as provided by the content creators.
• User Responsibilities: Users are responsible for evaluating the suitability of various resources and complying with any terms set forth by content providers when engaging with the content.

Transactions

• Engagements Between Clients and the Company: Any business transactions or engagements regarding the purchase of educational tools or resources occur directly between you (the client) and Owlisdom. We are responsible for providing the services as described on the Platform, and you agree to pay for these services according to the terms provided at the time of purchase.
• Liability: Owlisdom ensures the quality and accuracy of the services provided but is not responsible for personal interpretations or the application of educational content.

Prohibited Uses

You are permitted to use the Owlisdom Platform only for lawful purposes and in accordance with these Terms. The following actions are strictly prohibited:

• Violating Laws: Using the platform in a manner that violates any applicable federal, state, local, or international law or regulation.
• Exploiting Minors: Engaging in any activity that exploits, harms, or attempts to exploit or harm minors in any way.
• Unauthorized Communications: Transmitting or procuring the sending of any unsolicited advertising or promotional material, including any "junk mail," "chain letter," "spam," or similar solicitation without our prior written consent.
• Disruptive Conduct: Engaging in conduct that restricts or inhibits anyone's use or enjoyment of the Owlisdom Platform, or which may harm Owlisdom or users of the platform or expose them to liability.

Additionally, you agree not to:

• Interfere with the Platform: Use the platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Owlisdom Platform.
• Use Automated Means: Use any robot, spider, or other automatic device, process, or means to access the Owlisdom Platform for any purpose, including monitoring or copying any of the material on the platform.
• Introduce Malicious Code: Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Gain Unauthorized Access: Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Owlisdom Platform, the server on which the Owlisdom Platform is stored, or any server, computer, or database connected to the Owlisdom Platform.
• Attack the Platform: Engage in any attack such as a denial-of-service attack or a distributed denial-of-service attack.

Suspension and Termination

Owlisdom reserves the right to suspend or terminate your access to the Owlisdom Platform at any time, without notice, for any reason or no reason at all, including if Owlisdom determines that you have violated any provision of these Terms. You may terminate your use of the Owlisdom Platform at any time for any reason. To deactivate your account, please contact us directly. Please note that any outstanding payment obligations will survive the suspension or termination of your account.

Registration; Account Security

To access certain features of the Owlisdom Platform, you may be required to provide certain registration details or other information. Registering on our platform may involve providing your name and email address, connecting through third-party social media applications, or using a Google account. This creates your user ID and password, which you can use as long as your account remains active and up-to-date.

It is a condition of your use of the Owlisdom Platform that all the information you provide is correct, current, and complete. Your registration and any other information you provide on the platform are governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you are provided with or create a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any other person or entity. You acknowledge that your account is personal to you and agree not to provide any other person with access to this platform using your username, password, or other security information. Notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. Exercise particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We reserve the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms.

Privacy

All information we collect on the Owlisdom Platform is subject to our Privacy Policy. By using the Owlisdom Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Interactive Services and User Contributions

Interactive Services:

The Owlisdom Platform may offer message boards, forums, chat rooms, and other interactive features (collectively, "Interactive Services") that allow users to post, publish, display, or transmit content or materials (collectively, "User Contributions") to other users or persons on or through the Platform.

User Contributions:

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By posting User Contributions on the Owlisdom Platform, you grant us and our affiliates, licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers.
• All of your User Contributions do and will comply with these Terms.
• You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Owlisdom, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Owlisdom is not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Platform.

Communications

Consent to Automated Messages:

By using the Owlisdom Platform, you consent to receiving communications from us about the Owlisdom services via SMS, text message, email, and other electronic means, including autodialed text messages containing service information and/or marketing messages, even if your phone number is on a do-not-call registry. Your carrier's normal messaging, data, and other rates and fees will apply. Opting out of receiving these messages is possible at any time, although operational communications related to your activities on the Platform may continue as necessary.

Phone Number Changes:

If you change or deactivate the mobile phone number you provided to us, you must promptly update your account information to ensure that messages are not sent to the person who acquires your old number.

Fees & Payment

Fees for Users:

Users may purchase services through the Owlisdom Platform. You agree to pay the total fees indicated for these services. Where applicable, the total fees will include taxes compliant with local laws.

Cancellations & Refunds:

• User Cancellations: Must be made at least 24 hours before the scheduled service to receive a full refund of any fees paid.
• Force Majeure: In cases of emergency beyond the control of parties, such as natural disasters, Owlisdom may issue refunds or credits at its discretion.
• Failure to Perform: If Owlisdom determines that a service was not provided as agreed, it may cancel the service and issue a full or partial refund.

General Terms for Cancellations:

Cancellations should be made through the mechanisms provided on the Owlisdom Platform. The effective date of cancellation is the date the cancellation is processed through the Platform.

Direct Transactions:

All financial transactions for services on the Owlisdom Platform occur directly between you, the client, and Owlisdom as the service provider. Owlisdom is responsible for billing and collecting payments from clients for services rendered through our platform.

Dispute Resolution:

If there is a disagreement or dispute regarding payment, Owlisdom will directly handle inquiries and resolutions. We are committed to ensuring a fair and prompt resolution of any issues that may arise. It is essential that you contact us immediately if you believe there has been an error in billing or if you are dissatisfied with the service provided.

Authorization to Charge:

By providing a payment method, you authorize us to charge for any purchased services as they become due. You are responsible for maintaining up-to-date payment information.

Taxes

You are solely responsible for paying any taxes resulting from transactions made on the Owlisdom Platform. This includes, without limitation, sales taxes on fees paid through the Platform.

Copyright Infringement

Owlisdom respects the intellectual property rights of others and adheres to the U.S. Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been infringed upon on the Owlisdom Platform, please provide us with a written notification at:

Access to and use of these linked sites is at your own risk and subject to the terms of use and policies of those websites.

Company's Responsibility

The Company maintains a zero-tolerance policy for plagiarism and fraudulent practices but is not responsible for the unethical use of its products.

Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Develop Together LLC (dba Owlisdom) from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use of and access to the Owlisdom Platform;
• Your violation of any term of these Terms, including without limitation, your breach of any of the representations and warranties above;
• Your violation of any applicable law, rule, or regulation;
• Any claim or damages that arise as a result of any of your User Contributions or any that is submitted via your account; or
• Any other party’s access and use of the Platform with your unique username, password, or other appropriate security code.

You agree to cooperate as fully as reasonably required in the defense of any claim. Owlisdom reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of Owlisdom.

Intellectual Property

Owlisdom Ownership:

The Owlisdom Platform, including its entire contents, features, and functionality (such as text, graphics, interfaces, and the design, selection, and arrangement thereof), is owned by Develop Together LLC, its licensors, or other content providers. These elements are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Company Trademarks:

Develop Together LLC owns all rights to the Owlisdom trademarks, service marks, brand names, and logos ("Company Marks"). You may not use the Company Marks, or any similar marks, without the prior written permission of Develop Together LLC.

Warranty Disclaimer

General Disclaimer:

The Owlisdom Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Develop Together LLC makes no warranties, either express or implied, as to the platform's operation or the information, content, materials, or products included on the platform. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

No Harmful Material:

We do not guarantee that our platform will be secure or free from bugs, viruses, or other harmful components. You are responsible for configuring your information technology, computer programs, and platform to access Owlisdom. You should use your own virus protection software.

Content and Services:

We do not warrant the accuracy, completeness, or usefulness of the information available on our platform. Any reliance you place on such information is strictly at your own risk.

Limitation of Liability

Exclusion of Certain Damages:

To the maximum extent permitted by applicable law, Develop Together LLC will not be liable for any indirect, special, incidental, consequential, or punitive damages arising from or related to your use of the Owlisdom Platform. This includes, but is not limited to, loss of data, business interruption, or loss of anticipated savings; even if we are advised of the possibility of such damages.

Cap on Liability:

Except where prohibited by law, the total liability of Develop Together LLC to you for all damages, losses, and causes of action—whether in contract, tort (including negligence), or otherwise—will not exceed the amount you have paid us in the last twelve months, or $100 if you have not had any payment obligations to Owlisdom.

No Liability for Non-Company Actions:

Develop Together LLC is not liable for any personal injury, loss, or damage caused by your use or misuse of the Owlisdom Platform. This includes direct, indirect, incidental, punitive, and consequential damages, so long as this provision is permitted by law. We are also not responsible for the actions or interactions of any third party associated with or utilizing the Owlisdom Platform.

Dispute Resolution with Third Parties:

If you have a dispute with another user or a third party related to or arising from use of the Owlisdom Platform, you release Develop Together LLC from any claims, demands, and damages of every kind and nature arising out of or in any way connected with such disputes.

Geographic Restrictions

Global Access:

The owner of the Owlisdom Platform, Develop Together LLC, is based in Sheridan, Wyoming, United States. While our operations are headquartered in the US, Owlisdom is designed to serve a global audience. We make no claims that the Platform or any of its content is restricted to use only in the United States.

International Use Compliance:

Access to the Platform may be accessed legally by persons located worldwide. If you access the Owlisdom Platform from outside the United States, you are responsible for compliance with local laws wherever you are located. You undertake this access on your own initiative and are responsible for ensuring your participation adheres to all applicable laws in your jurisdiction.

Dispute Resolution

Arbitration Agreement Overview:

Please read this section carefully as it affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

Applicability of Arbitration Agreement:

All claims and disputes in connection with the Terms or the use of any product or service provided by the Owlisdom Platform that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to in writing by all parties, arbitration proceedings shall be held in English.

Steps Before Arbitration:

Before seeking arbitration, you must first send us a written Notice of Dispute that includes your name, residence address, username, email address or phone number you use for your Owlisdom account, a detailed description of the dispute, and the relief you seek. Any Notice of Dispute you send to us should be mailed to Develop Together LLC, Attention: Legal Department, 30 N. Gould St. Ste R, Sheridan, WY 82801, or sent via email to info@owlisdom.com. If we cannot resolve the issue within thirty (30) days of receiving your Notice of Dispute, either party may begin arbitration proceedings.

Arbitration Procedures:

Arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA) for arbitration of consumer-related disputes, in Sheridan, Wyoming, USA. You are not required to attend the arbitration in person, and we may participate through telephone or video conference. Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise.

Authority of Arbitrator:

The arbitrator will decide the rights and liabilities, if any, of you and Owlisdom, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim and to award monetary damages and relief. Final judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Waiver of Jury Trial and Class Actions:

BY AGREEING TO ARBITRATION, YOU AND OWLISDOM ARE EACH AGREEING TO WAIVE OUR RIGHTS TO A TRIAL BY JURY. All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class action, collective action, private attorney general action or other representative proceeding.

Exceptions to Arbitration:

Either you or Owlisdom may assert claims, if they qualify, in small claims court in Sheridan, Wyoming or any United States county where you live or work. Furthermore, Owlisdom may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

Severability and Survival

If any portion of this Arbitration Agreement is found to be unenforceable or unlawful for any reason, (1) the unenforceable provision shall be severed from these terms; (2) severance of the unenforceable provision shall have no impact whatsoever on the remainder of the Arbitration Agreement or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to the Arbitration Agreement; and (3) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration.

Miscellaneous

Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such finding will not affect the validity, legality, or enforceability of any other provisions of these Terms. In such a case, the parties agree to replace the invalid, illegal, or unenforceable provision with a valid and enforceable one that most closely matches the intent of the original provision, and the rest of the Terms will remain in full effect.

Waivers:

No waiver of any breach or default of these Terms will be deemed effective unless made in writing. No such waiver shall be deemed a waiver of any subsequent breach or default. Any delay or failure by either party to enforce any provisions of these Terms or to claim a breach of these Terms will not be construed as a waiver of those provisions or the right to enforce them.

Entire Agreement:

These Terms constitute the entire agreement between you and Develop Together LLC regarding the Owlisdom Platform and supersede all prior and contemporaneous written or oral agreements pertaining to this subject matter. Any modifications to these Terms must be made in writing and signed by an authorized representative of Develop Together LLC.
